Terms & Conditions
1. Scope of Inspection and Services All inspections, maintenance, installations, and recovery operations ("Services") provided by Strategic Insight & Resources are limited to the specific tasks and areas agreed upon in writing prior to commencement. Inspections are primarily visual unless otherwise specified. Areas inaccessible due to physical, environmental, or safety constraints are excluded from the inspection scope.
2. Limitations and Site Conditions Services are subject to prevailing site and environmental conditions, including but not limited to tide, visibility, weather, marine growth, and underwater currents. Such conditions may affect the thoroughness and accuracy of inspections and other services. Any limitations encountered will be documented in the report.
3. No Guarantee or Warranty Reports and findings reflect the condition of inspected assets at the time of service only. Strategic Insight & Resources does not provide any guarantee or warranty, expressed or implied, regarding future performance, longevity, or structural integrity of inspected items or completed works.
4. Reliance on Report All reports and documentation are prepared solely for the named client. No third party may rely on such reports without express prior written consent from Strategic Insight & Resources. Liability to third parties is expressly disclaimed.
5. Limitation of Liability Liability arising from or related to the provision of Services, whether in contract, tort, or otherwise, is limited to the total fees paid by the client to Strategic Insight & Resources for the specific Services rendered, not exceeding $500,000. Under no circumstances shall Strategic Insight & Resources be liable for any amount exceeding this limit.
6. Exclusion of Consequential Loss Strategic Insight & Resources is not liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, business interruption, loss of income, or downstream damages resulting from the Services or any defects identified or missed.
7. Hidden and Latent Defects Services and inspections do not cover hidden, latent, submerged, or concealed defects that are not reasonably detectable by the inspection methods employed. Detection of such defects may require invasive or specialist procedures beyond the scope of standard inspections.
8. Ongoing Deterioration and Environmental Impact Marine and underwater structures are subject to continuous environmental exposure and deterioration. Conditions may change at any time after the inspection or service, and Strategic Insight & Resources accepts no responsibility for changes occurring post-service.
9. Maintenance and Monitoring Responsibility It is the sole responsibility of the client to ensure ongoing maintenance, monitoring, and timely repair of inspected or serviced assets. Recommendations provided are advisory and do not replace the client’s duty of care.
10. Advisory Nature of Recommendations All advice, recommendations, and reports provided by Strategic Insight & Resources are for informational purposes only and do not constitute certification or guarantee of safety, compliance, or fitness for purpose unless specifically stated and formally qualified.
11. Further Investigation and Specialist Inspections Where potential issues are identified but not fully assessable during standard inspection, Strategic Insight & Resources recommends engaging qualified specialists for further detailed investigation. Additional costs associated with such investigations are the responsibility of the client.
12. Health, Safety, and Environmental Compliance Strategic Insight & Resources complies with all applicable health, safety, and environmental regulations. The client must also ensure the site complies with relevant legislative requirements and provide safe access and working conditions for personnel and equipment.
13. Insurance Strategic Insight & Resources maintains appropriate insurance coverage, including public liability and professional indemnity, consistent with industry standards. Copies of insurance certificates are available upon request.
14. Indemnity The client agrees to indemnify and hold harmless Strategic Insight & Resources, its officers, employees, and agents from any claims, damages, or losses arising out of the client’s failure to act on recommendations or maintain assets post-inspection or service.
15. Governing Law and Jurisdiction These Terms and Conditions and any contract between the client and Strategic Insight & Resources shall be governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Western Australia.
16. Payment Terms Invoices are payable within 7 days of issue unless otherwise agreed in writing. Late payments may incur interest charges at a rate of 10% of total payment due, (inclusive of GST) per month.
17. Cancellation and Rescheduling Cancellations or rescheduling of booked services must be made at least 48 hours in advance. Late cancellations may incur a fee up to 50% of the scheduled service cost.
